1. Agreement

GIGI Trading (“GIGI”) supplies products through its website and direct sales channels subject to these Terms and Conditions. Any reference to the “Customer” includes any individual, dealer, reseller, installer, contractor, company, or legal entity purchasing or intending to purchase products from GIGI Trading.

A binding agreement between the Customer and GIGI Trading comes into effect once an order has been submitted and accepted by GIGI Trading through a quotation confirmation, proforma invoice, tax invoice, or written acceptance. Once accepted, the transaction becomes legally binding on both parties.

GIGI Trading reserves the right to amend or update these Terms and Conditions from time to time in relation to future transactions, and the latest version may be requested from the company.

2. Dealer and Retail Customers

Approved dealers and trade partners may qualify for dealer pricing and related trade benefits. Customers who are not registered dealers will be treated as retail customers and standard retail pricing will apply.

3. Product Pricing and Availability

Prices displayed on the website may include both dealer and retail pricing structures, with VAT treatment indicated where applicable. Dealer pricing is strictly limited to approved dealer accounts. Unless otherwise stated, delivery and shipping fees are excluded from product pricing.

Product images, diagrams, and illustrations are provided for reference purposes only and may differ from the actual products supplied. All prices remain subject to change without notice due to supplier pricing, stock availability, currency fluctuations, or market conditions. The final amount payable shall be the amount reflected on the official tax invoice issued by GIGI Trading.

All products are supplied subject to stock availability. Should an item become unavailable after an order has been placed, GIGI Trading will notify the Customer as soon as reasonably possible. In cases involving pricing errors, technical issues, or supplier-related changes, GIGI Trading reserves the right to correct pricing and offer the Customer the option to proceed with or cancel the order.

4. Orders

Orders may be placed online, by email, telephonically, or through approved sales representatives. GIGI Trading may require written confirmation of verbal or telephone orders before processing.

Orders not collected within 7 (seven) business days may be cancelled at the company’s discretion. Special-order products, imported items, custom configurations, or bulk purchases may require a deposit before processing. If such orders are cancelled after acceptance, GIGI Trading reserves the right to retain the deposit or charge a reasonable cancellation fee.

Stock will only be allocated once payment has cleared and reflects in the company’s bank account. Quotations remain valid only for the period specified on the quotation document unless otherwise agreed in writing.

5. Payment Terms

Unless a credit facility has been formally approved, all sales operate on a cash-before-delivery or cash-on-collection basis. Approved credit customers are required to settle accounts within the agreed payment period reflected on their account documentation.

Accepted payment methods may include Electronic Funds Transfer (EFT), debit or credit card payments, and approved online payment gateways. Products will only be released once payment has been received and confirmed.

The Customer may not withhold payment, apply deductions, or set-off amounts without prior written approval from GIGI Trading. The company reserves the right to suspend deliveries, reject orders, or withdraw credit facilities where payments are overdue or account limits have been exceeded.

Should payment not be received by the due date, GIGI Trading reserves the right to institute legal proceedings, hand accounts over for debt collection, recover legal and collection costs, and report defaults to relevant credit agencies where permitted by law. Interest may also be charged on overdue accounts at the prevailing prime lending rate.

Cash deposits into the company’s account may attract additional bank charges payable by the Customer. No discounts, payment extensions, or special arrangements shall apply unless confirmed in writing by an authorised representative of GIGI Trading.

6. Credit Facilities

Credit applications are considered solely at the discretion of GIGI Trading. The company may conduct credit checks through authorised credit bureaus or financial verification services before approving any facility.

GIGI Trading reserves the right to increase, reduce, suspend, or withdraw any credit facility at any time. Customers with approved facilities remain responsible for ensuring that their approved credit limits are not exceeded. Where a facility has been withdrawn, all future purchases shall be conducted on a COD basis.

7. Delivery and Collection

Goods will only be dispatched once payment has cleared unless otherwise agreed. A signed delivery note, proof of collection, or courier confirmation shall serve as proof that the products were received.

The Customer must inspect all products immediately upon receipt and report shortages, damages, or discrepancies within a reasonable period. If packaging appears damaged or tampered with, the Customer should refuse delivery or clearly note the issue when accepting the shipment.

Delivery charges may apply depending on the destination, shipping method, or order value. GIGI Trading may utilise third-party courier companies for transportation and delivery services. Where the Customer elects to use its own courier or collection service, all transportation risk transfers to the Customer upon collection.

Estimated delivery times are provided as guidelines only and are not guaranteed. GIGI Trading shall not be held liable for delays caused by courier services, customs procedures, supplier delays, force majeure events, or circumstances beyond its reasonable control.

Risk in the products transfers to the Customer once the goods have been collected or delivered.

8. Ownership of Goods

Ownership of all products supplied by GIGI Trading shall remain vested in the company until full payment has been received.

9. Returns and Warranty

If products supplied differ materially from the original order, the Customer must notify GIGI Trading within 10 (ten) business days of delivery. Returned items should remain in their original condition and packaging unless the defect prevents such return.

Products may carry manufacturer warranties subject to the relevant manufacturer’s warranty terms and conditions. Where products are confirmed to be defective, GIGI Trading may at its discretion repair, replace, or refund the affected products.

Warranty claims do not cover damage resulting from misuse, incorrect installation, power surges, lightning, water exposure, negligence, or unauthorised modifications.

Unless otherwise agreed, the Customer remains responsible for return shipping costs. Any products returned for testing, repair, or warranty purposes must be collected within 30 (thirty) days after notification.

Returns of unwanted products may be accepted at the sole discretion of GIGI Trading and may be subject to handling or restocking fees.

10. Breach of Agreement

Should either party breach any provision of this Agreement and fail to remedy the breach within 7 (seven) days after receiving written notice, the aggrieved party may cancel the Agreement or pursue any legal remedies available under applicable law.

11. Limitation of Liability

To the fullest extent permitted by law, GIGI Trading shall not be liable for indirect, incidental, special, or consequential damages arising from the supply, use, or failure of products supplied.

The Customer agrees not to reproduce, duplicate, distribute, or misuse copyrighted product materials, manuals, software, or documentation without proper authorisation.

12. Legal Jurisdiction

These Terms and Conditions shall be governed by the laws of the Republic of South Africa. The address provided by the Customer on any order, invoice, or account documentation shall serve as the Customer’s legal address for notices and legal processes.

Any notice delivered by hand, courier, registered mail, or email shall be deemed properly delivered according to normal business communication practices.

13. General Provisions

These Terms and Conditions constitute the complete agreement between the parties regarding the sale and supply of products and supersede any previous agreements or understandings.

No amendment, variation, or cancellation shall be valid unless reduced to writing and authorised by GIGI Trading. Failure by GIGI Trading to enforce any right shall not constitute a waiver of that right.

The Customer may not transfer or assign any rights or obligations arising from this Agreement without prior written consent. If any provision of this Agreement becomes unenforceable, the remaining provisions shall continue in full force and effect.

The Customer agrees to notify GIGI Trading of any changes to company ownership, directors, addresses, or contact details.

14. Protection of Personal Information

The Customer acknowledges that personal and business information supplied to GIGI Trading may be used for account management, order fulfilment, credit assessment, support services, and compliance purposes.

GIGI Trading will take reasonable steps to protect personal information and will not disclose such information to third parties unless required by law, necessary to fulfil contractual obligations, required for payment processing or credit verification, or otherwise authorised by the Customer.

The Customer consents to GIGI Trading obtaining and sharing credit-related information with authorised credit bureaus or trade references where legally permitted.

By using the website or purchasing products from GIGI Trading, the Customer agrees to the company’s privacy and information processing practices.
